Platform Overview and Informational Framework
1Introduction
Welcome to Makeda ("Makeda", "we", "us", or "our").
Makeda operates an online transparency platform that aggregates and presents information relating to vendors, businesses, and commercial actors in order to promote safer transactions, consumer awareness, and accountability in commercial activity.
The Makeda platform may display vendor profiles, trust indicators, aggregated complaint signals, vendor response activity, and user-submitted reports describing experiences with vendors.
By accessing or using the Makeda website, platform, or related services (collectively, the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

2Description of the Platform
Makeda provides an informational transparency service that allows users to access structured information relating to vendors and commercial transactions.
The Platform may include: a. vendor profile pages; b. aggregated complaint counts; c. trust indicators derived from user submissions; d. vendor response indicators; e. structured signals reflecting user experiences; f. vendor claim and verification tools; g. vendor response features; and h. user-submitted reports relating to commercial transactions.
Makeda's role is limited to collecting, organizing, and presenting information relating to vendor activity and user experiences.
Unless expressly stated otherwise, Makeda does not act as: a. a marketplace, b. a payment intermediary, c. a broker, d. an escrow service, or e. a participant in transactions between users and vendors.
Transactions occur solely between users and vendors outside the Platform.
3Vendor Profiles and Indexing
Makeda may create or display vendor profiles based on information obtained from: a. publicly available sources; b. user submissions describing commercial experiences; c. vendor-provided information; or d. other lawful data sources.
Vendor profiles may include: a. business names; b. business contact details; c. aggregated complaint signals; d. vendor response activity; e. trust indicators derived from user submissions; and f. other structured information relating to user experiences.
The inclusion of a vendor profile on Makeda does not imply wrongdoing, misconduct, or legal liability on the part of the vendor. Vendor profiles are presented for informational transparency purposes only.
4Why Is My Business Listed on Makeda?
Makeda's mission is to improve transparency in commercial transactions by providing access to structured information relating to vendors and business practices.
Vendor profiles may appear on the Platform for several reasons, including: a. information obtained from publicly available sources; b. reports submitted by users describing their experiences with vendors; c. information submitted by vendors themselves; or d. other lawful data sources.
The inclusion of a vendor profile on the Platform does not constitute an accusation, finding of wrongdoing, or legal determination.
Makeda does not publish vendor listings for the purpose of making allegations about vendors. Instead, the Platform serves as an informational resource that aggregates user experiences and data signals relating to commercial activity.
Vendors whose profiles appear on the Platform may have the opportunity to: - claim their profile; - provide updated information; - respond to reports submitted by users; and - request review or correction of inaccurate information.
Makeda encourages vendors to engage constructively with the Platform to promote accurate and balanced information.
5Trust Indicators and Vendor Signals
The Platform may display trust indicators or similar signals associated with vendor profiles. These indicators are generated from aggregated data derived from user submissions, complaint activity, vendor responses, and other platform signals.
Trust indicators: - are algorithmically generated; - reflect patterns of user-submitted experiences; and - may change over time as new information becomes available.
Trust indicators are not factual findings, legal determinations, or definitive measures of vendor conduct. They are informational signals designed to help users interpret aggregated user experiences. Makeda does not independently verify every user submission used in generating these indicators.
6Algorithmic Nature of Signals
Makeda's trust indicators and structured signals are generated through automated and semi-automated processes based on aggregated user submissions, platform activity, and other internal data inputs.
These indicators are not manually curated opinions about any vendor and may change over time as additional data becomes available. Makeda does not guarantee that such indicators fully or accurately reflect any vendor's conduct, reliability, or quality of service.
7Platform Neutrality
Makeda operates as an informational transparency platform that aggregates and displays user-submitted reports and structured data signals relating to vendors.
Makeda does not independently investigate every report submitted to the Platform and does not make determinations regarding the truth or legality of individual allegations.
Information displayed on the Platform reflects user-submitted experiences and aggregated signals, and should not be interpreted as a factual finding or legal judgment by Makeda.
8No Duty to Monitor
Makeda does not undertake a general obligation to monitor, verify, or investigate all content submitted to the Platform. While Makeda may review content in certain circumstances, it is not responsible for proactively identifying unlawful, inaccurate, or misleading submissions.
9Accuracy and Informational Disclaimer
Makeda makes reasonable efforts to maintain the integrity of the Platform but does not guarantee that all information displayed is complete, accurate, or up to date. Information displayed on the Platform is intended for informational purposes only. Users and vendors remain responsible for conducting their own independent verification where necessary.
10Good Faith Publication
Makeda publishes information on the Platform in good faith for the purpose of promoting transparency and safer commercial interactions.
To the extent permitted by applicable law, Makeda shall not be liable for the publication of user-submitted content or aggregated signals where such publication is carried out in good faith and in accordance with its policies.
11No Professional Advice
Information provided on the Platform does not constitute legal, financial, commercial, or professional advice. Users should seek appropriate professional advice where necessary.
12Third-Party Links
The Platform may contain links to third-party websites or services. Makeda does not control and is not responsible for the content, policies, or practices of third-party services.

User Participation and Content
13User Accounts
Certain Platform features may require users to create an account.
Users agree to: - provide accurate information; - maintain the confidentiality of account credentials; and - be responsible for activity occurring under their account.
Users must not: - impersonate another person or business; - create accounts using false identity information; or - attempt to bypass verification requirements.
Makeda may suspend or terminate accounts that violate these Terms.
14User Submissions and Reports
Users may submit reports describing their experiences with vendors.
By submitting a report, users represent that: a. the information is based on genuine experience or knowledge; b. the content is not knowingly false or misleading; c. the content does not violate the rights of any person or entity; and d. the submission complies with applicable law.
15Evidence and Supporting Materials
Users may submit supporting materials including: a. screenshots; b. transaction records; c. receipts; d. communications with vendors; e. other relevant documentation.
Users must ensure that submitted materials do not violate the privacy or legal rights of third parties.
16Responsibility for Submitted Content
Users are solely responsible for the content they submit. Makeda does not adopt or endorse user submissions. Users may be legally responsible for unlawful statements including defamatory or fraudulent content.
17Acceptable Use
Users must not: a. submit false or misleading reports; b. harass vendors or other users; c. impersonate another person or business; d. manipulate complaint signals or trust indicators; e. coordinate submissions to artificially harm vendors; f. use automated tools to generate submissions.
18Platform Activity Data
Makeda may generate analytics, metrics, and insights derived from platform activity. All rights in such platform activity data belong exclusively to Makeda.

Vendor Participation and Moderation
19Vendor Rights and Corrections
Vendors may: a. claim their vendor profile; b. update business information; c. respond to user-submitted reports; and d. request correction of inaccurate information.
Makeda may review such requests and determine appropriate action.
20Vendor Conduct and Non-Retaliation
Vendors interacting with the Platform must not harass, intimidate, threaten, or retaliate against users who submit reports. Makeda may restrict vendor access where retaliation is suspected.
21Moderation and Content Removal
Makeda reserves the right to review, edit, restrict, or remove content where it reasonably believes content: a. violates these Terms; b. is unlawful or defamatory; c. exposes individuals to harm; or d. threatens the integrity of the Platform.
Moderation decisions may occur without prior notice.
22Suspension and Termination
Makeda may suspend or restrict access to the Platform where a user or vendor: - violates these Terms; - submits fraudulent content; or - interferes with platform security.

Legal Rights and Liability
23Platform Intellectual Property
The Platform's design, software, database structure, trust indicators, and related technology are owned by Makeda or its licensors. Users may not reproduce, redistribute, or reverse engineer the Platform.
24Platform Data and Database Rights
The organization and compilation of vendor profiles, reports, and trust indicators constitute a proprietary database owned by Makeda. Users must not: a. scrape platform data; b. reproduce vendor datasets; or c. build competing databases.
25Limitation of Liability
To the fullest extent permitted by law, Makeda shall not be liable for: a. the accuracy of user submissions; b. disputes between users and vendors; c. decisions made based on Platform information.
Makeda's total liability shall not exceed the greater of: a. USD $100, or b. the amount paid by the user to Makeda in the preceding 12 months.
26Indemnification
Users agree to indemnify and hold harmless Makeda, its officers, employees, and affiliates from claims arising from: a. content submitted by the user; b. violation of these Terms; or c. violation of applicable law.
27Governing Law
These Terms are governed by the laws of the State of Delaware, United States.
28Dispute Resolution
Disputes shall be resolved through binding arbitration. The decision of the arbitrator shall be final and binding.
29Changes to the Platform
Makeda may modify, suspend, or discontinue parts of the Platform at any time.
30Changes to These Terms
Makeda may update these Terms periodically. Continued use of the Platform constitutes acceptance of the revised Terms.
